Official Rules for RELEVATE ® Alzheimer's and Brain Awareness Month Giveaway

BY PARTICIPATING, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT. THIS CONTRACT INCLUDES CERTAIN LIMITATIONS OF YOUR RIGHTS AND REMEDIES, INCLUDING A NO CLASS ACTION/JURY TRIAL WAIVER PROVISION. 

1. PROMOTION DESCRIPTION: The RELEVATE ® Alzheimer's and Brain Awareness Month  (“Promotion”) begins on June 1, 2024 at 12:01 am CST and ends on June 30, 2024 at 11:59 pm CST (the “Promotion Period”). One winner will be selected on or about July 1, 2024 and notified by email. 

The sponsor of this Promotion are NeuroReserve and ADxHealth. By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of Entries and the overall administration of the Promotion. Entrants should look solely to Sponsor with any questions, comments or problems related to the Promotion. 2. ELIGIBILITY: Open to legal residents of the 50 United States who are at least 18 years of age at the time the Promotion begins. Sponsor, its subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the “Promotion Entities”), are ineligible to enter the Promotion or win a prize. Household Members and Immediate Family Members of the Promotion Entities are also not eligible to enter or win. “Household Members” shall mean those people who share the same residence at least three months a year. “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Promotion is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law. 

3. PRIZES: 

Promotion participants will enter for a chance to win the following Prize package (“Prize”) consisting of the following items: 

• Three (3) Bottles of RELEVATE Brain Health Supplement by NeuroReserve ($264 ARV) 
• One (1) GenoRisk™ Alzheimer’s Testing Kit by ADxHealth ($399 ARV) 
• One (1) Brain Health Kitchen Cookbook by Annie Fenn ($35 ARV) 

Total Approximate Retail Value: $698.00 

One (1) Prize will be awarded. 

The chances of winning depend on the number of eligible entries received. Prizes cannot be transferred, assigned, redeemed for cash, or substituted, except by Sponsor due to prize availability and then with a prize of equal or greater value. The average retail value (ARV) of each component of the Prize represents Sponsor’s good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the Prize turns out to be less than the stated ARV, the difference will not be awarded in cash or otherwise. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any component of the Prize awarded. Restrictions, conditions, and limitations may apply. 

This Promotion is open to legal residents of the 50 U.S. states and Prize will only be awarded and/or delivered to addresses within the 50 U.S. states. All federal, state and/or local taxes, fees, and surcharges, and any expenses associated with any prizes, are the sole responsibility of the prize winner. Failure to comply with these Official Rules will result in forfeiture of the Prize. 

4. HOW TO ENTER: Enter the Promotion online by visiting the Sponsor’s website and completing the entry form, which can be found on the following website at https://neuroreserve.com/pages/apoe4-guide . Ensure you have also completed the steps outlined in the social media post located on this account: https://www.instagram.com/neuroreserve/ Limit one (1) Entry per person. Duplicate Entries will be rejected and disqualified. 

Automated, robotic, programmed, or fraudulent Entries are void and will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Entrant’s Entries and that Entrant may be disqualified. Final eligibility for the award of any Prize is subject to eligibility verification as set forth below. All Entries must be submitted by the end of the Promotion Period in order to participate. Sponsor's database clock will be the official timekeeper for this Promotion. 

Sponsor is not responsible for lost, misdirected, late, unsent, incomplete, illegible or unintelligible Entries or for inaccurate Entry information, whether caused by the Entrant or by any of the equipment, devices, or programming associated with or utilized in this Sweepstakes, or by any technical or human error that may occur in the transmittal of any entry or the processing of any Entry. Entrant must notify Sponsor of any changed contact information within the Promotion Period to remain eligible to win based on Entry information. Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Promotion; to be acting in violation of these Official Rules; or to be acting with intent to annoy, abuse, threaten or harass any other person. 

5. WINNER SELECTION: The Winner of the Promotion will be selected in a random drawing from among all eligible Entries received during the Promotion Period. There is only one Prize winner. The random drawing will be conducted by Sponsor or its designated representatives, whose decisions are final. The drawings will occur on or about July 1, 2024. 

6. WINNER NOTIFICATION: Winner will be notified by email at the email address provided in the Entry information approximately one week after the random drawing. Potential Winner must accept the Prize by email as directed by Sponsor within one week of notification or the Prize may be forfeited and another Promotion participant chosen. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or Winner’s failure to adequately monitor any email account. Noncompliance will result in disqualification and an alternate winner may be selected. 

Winner must satisfactorily complete an affidavit of eligibility showing compliance with these Official Rules, and must also sign a liability and publicity release, allowing Sponsor to use his or her information for advertising or other purposes. Failure to complete these forms may result in forfeiture of the Prize. 

Prizes will be awarded within approximately 7-14 days after the winner is verified by Sponsor. 

7. PRIVACY: Any personal information supplied by Entrants will be subject to the privacy policy of the Sponsor posted at https://neuroreserve.com/pages/privacy-policy By entering the Promotion, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Promotion Entities for the purpose of administration and prize fulfillment, including use in a publicly available Winner list. 

8. LIMITATION OF LIABILITY AND DISPUTE RESOLUTION. Winners shall indemnify, defend and hold harmless Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors (“Released Parties”) from and against any and all claims, damages, actions, liability, loss, injury or expense, including reasonable attorneys' fees and costs, arising out of or in connection with: (a) their participation in the Promotion; (b) a breach or allegation which if true would constitute a breach, of any of their representations, warranties or obligations herein; and (c) acceptance, possession, grant, or use of any prize, including without limitation, personal injury, death and property damage arising therefrom. Once the prize has been distributed, participants understand that there can be no claims for liability made against the above-named parties. 

Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant’s or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Promotion or download of any materials in the Promotion. 

If, for any reason, the Promotion is not capable of running as planned, for reasons which may include, without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion Sweepstakes in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total ARV as set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Promotion. 

Except where prohibited, participating entrants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of Wisconsin. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the state of Wisconsin without giving effect to any choice of law or conflict of law rules (whether of the State of Wisconsin or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Wisconsin. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. 

ALL PARTICIPATING ENTRANTS AND PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS PROMOTION WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING WITHOUT LIMITATION ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
